Daiwabo Information System Co., Ltd. (hereafter referred to as our company) has decided to divest its wholly-owned subsidiary, DIS Artworks Co., Ltd. (hereafter referred to as D-art), on June 1, 2017, in accordance with the procedure of corporate divestiture stipulated by the Companies Act of Japan. Through this divestiture, our company will succeed D-art’s PC-Webzine related activity, and our wholly-owned subsidiary, DIS Service and Support Co., Ltd. (hereafter referred to as Dsas), will succeed D-art's website construction related activity. D-art will be dissolved after the corporate divestiture.
1. Objective of corporate divestiture
Our company established D-art as our wholly-owned subsidiary in 2005, to launch and develop the content business, and has been promoting D-art's activities since its establishment. However, customer needs for information technology change on a daily basis, growing ever more diverse and sophisticated. Given this situation, our company will integrate the technology and know-how gained by D-art, and develop information technology more effectively and rapidly, to further improve the quality of our services, and help our customers further strengthen their competitive edge.
2. Overview of the divestiture
Of D-art's activities, those focusing on the publication of the PC-Webzine will be succeeded by our company, and those focusing on website construction will be succeeded by Dsas. On June 1, 2017, when the divestiture becomes effective, the assets, liabilities, and other rights and obligations involved in D-art’s activity will be transferred, respectively, to each of the two succeeding companies. Due to the divestiture, all of D-art’s business operations will be succeeded by the two companies, and D-art will consequently be dissolved on June 1, 2017.
